Terms of Use

These Terms of Use ("Terms") govern your use of orbitreferralgroup.com and its aliases, including orbitfranchising.com (the "Site"), operated by Orbit Referral Group LLC ("ORBIT," "we," "us").

1. Acceptance

By accessing the Site or submitting a pre-registration, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Site. If you use the Site on behalf of a company, you represent that you are authorized to bind it to these Terms.

2. Business audience

The Site is intended for franchisors, franchise executives and franchise professionals acting in a business capacity, and for users 18 or older. It is not intended for consumers or children.

3. No franchise offer

This website is not an offer to sell a franchise. Offers are made only by a Franchise Disclosure Document (FDD) in compliance with applicable federal and state law. ORBIT does not sell franchises. Nothing on the Site is a solicitation of an offer to buy a franchise in any state where such an offer requires registration and the franchise has not been registered.

4. No earnings claims

ORBIT makes no financial performance representations or earnings claims about any franchise, member brand or referral. Any examples, figures or fee illustrations on the Site describe ORBIT's own fee structure and are not predictions of results. Any financial performance information about a franchise must come from that franchisor's FDD.

5. Broker compensation

ORBIT acts as a franchise broker and is compensated by member franchisors when a referred candidate signs a franchise agreement. Candidates receive a written compensation disclosure before any introduction. See Disclosures below.

6. Pre-registration is non-binding

Pre-registering is free and non-binding for both you and ORBIT. It does not create membership, a contract, a partnership or any obligation, and it does not guarantee a seat. ORBIT seats only one brand per sub-niche and may accept or decline any brand in its sole discretion. Membership, if offered, will be governed by a separate written agreement. You represent that the information you submit is accurate and that you are authorized to share it.

7. Acceptable use

You agree not to: submit false, misleading or third-party information without authorization; use the Site for unlawful purposes; attempt to gain unauthorized access to, interfere with or disrupt the Site; scrape, harvest or collect data from the Site by automated means; send spam or malicious code; or impersonate any person or entity.

8. Intellectual property

The Site and its content, including text, graphics, logos, the ORBIT name and design, are owned by or licensed to ORBIT and protected by intellectual property laws. You may view the Site for your own business evaluation. You may not copy, modify, distribute or create derivative works without our written permission. Brand names and trademarks of third parties belong to their owners.

9. Third-party links

The Site may link to third-party websites or services. We do not control and are not responsible for their content, policies or practices. Your use of them is at your own risk.

10. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. ORBIT does not warrant that the Site will be uninterrupted or error-free, or that any referral, introduction or franchise sale will result. Content on the Site is general information, not legal, financial or investment advice.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ORBIT AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnity

You agree to indemnify and hold harmless ORBIT and its members, managers, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees, arising from your use of the Site, information you submit, or your violation of these Terms or applicable law.

13. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.

14. Changes

We may update these Terms at any time by posting a revised version here and changing the effective date. Your continued use of the Site after changes are posted means you accept them.

Disclosures

Franchise broker disclosure. ORBIT (Orbit Referral Group LLC) acts as a franchise broker and is compensated by member franchisors when a referred candidate signs a franchise agreement. ORBIT does not sell franchises, make earnings claims, or guarantee that any candidate will be introduced to or sign with any brand. Member franchisors sell their own franchises under their own Franchise Disclosure Documents and state registrations. Candidates receive a written compensation disclosure before any introduction. Candidates are routed by fit with each member brand's sub-niche, not by membership tier.

State broker registration. Some states, including New York and Washington, require franchise brokers or franchise sellers to register or be disclosed in a franchisor's registration before soliciting or referring candidates in that state. ORBIT intends to comply with applicable state requirements and will not refer candidates in a state where it is not permitted to do so. ORBIT does not claim any state broker registration on this Site.

Entity. ORBIT is a trade name of Orbit Referral Group LLC, a California limited liability company.
